Group governance and organization Group structures – holding companies, operating subsidiaries, finance companies – require rigorous cross-border legal coordination. We advise on holding structures, internal regulations, governance charters, delegation of powers and group compliance policies. We also advise on directors‘ obligations (particularly with regard to Swiss company law, economic criminal law and civil liability).

We can assist you in negotiating and drafting contracts governed by Swiss law: service contracts, licensing agreements, exclusive distribution agreements, joint ventures, logistics contracts, industrial contracts, outsourcing, IT contracts, confidentiality agreements or technology transfer agreements. Our practice incorporates the specific features of Swiss law as well as the applicable rules of private international law.

The taxation of multinational groups requires coordination between several jurisdictions. We advise on transfer pricing, intra-group financing, tax reorganization, taxation of permanent establishments, cross-border VAT and withholding tax. We also assist our clients in tax audits and in negotiating tax rulings with the Swiss authorities.

We are involved in all stages of strategic operations: acquisitions, disposals, contributions, mergers, carve- outs, spin-offs, dissolutions of joint ventures. Our services cover due diligence, legal and tax structuring, negotiation of transactional documents, regulatory notifications and operational implementation. Managing personal data within a group requires robust and consistent governance. We support our customers in complying with the DPA and RGPD, drafting internal policies and privacy notices, securing international data transfers, and contractual frameworks with subcontractors. We also work on technology projects (blockchain, AI, etc.).

Large groups have to deal with the complexities of managing their workforce: international employment contracts, secondment, expatriation, social security, compensation plans, employee benefits, collective restructuring. We advise both HR and legal departments on how to manage these practices, including the taxation of key personnel.
